Philippi Prietocarrizosa Ferrero DU & Uría Colombia has represented THE BANK OF NOVA SCOTIA and BANCOLOMBIA, as lenders, in connection with a financing granted to Armenta, as borrower, and Villar Treasury, as guarantor.

The financing was for the purpose of repaying in full an existing facility, paying the purchase price of QBCO’s equity interests, and covering fees and other costs related to the transaction.

The transaction took place on July 19 and involved the jurisdictions of the US, Panama, Colombia and the British Virgin Islands.

Other participating firms were Brigard & Urrutia, as special Colombian counsel to the loan parties (Armenta and Villar Treasury); Icaza González-Ruiz & Alemán, as special Panamanian counsel to the borrower; Mayer Brown, as special New York counsel to the lenders; Holland and Knight, as New York special counsel to the loan parties; Alemán Cordero Galindo & Lee as Panamanian special counsel to the lenders; Walkers, as BVI special counsel to the lenders; and Maples and Calder, as BVI special counsel to the guarantor.
