Colombian airline Avianca has called on two Simpson Thacher & Bartlett LLP offices to make a US$650 million notes issuance.
The banks relied on Davis Polk & Wardwell LLP in New York and London, Philippi Prietocarrizosa Ferrero DU & Uría (Colombia) and ROBALINO in Quito.
Latin Lawyer understands that Pérez-Llorca (Colombia) assisted the issuer but could not confirm this before publishing.
The offering closed on 7 July.
Avianca used the proceeds to redeem in full its senior secured notes due 2028 and tranche A-1 senior notes due 2028, with the remaining funds earmarked for general corporate purposes, including the future repayment of certain outstanding indebtedness.
Simpson Thacher and Pérez-Llorca (Colombia) have assisted Avianca on several capital markets deals this year. In January, they helped the airline raise US$150 million in a bond reopening. PPU and Ecuador’s ROBALINO represented the underwriters. Earlier that month, Avianca also raised US$600 million through a separate notes offering, relying on Simpson Thacher and Pérez-Llorca as well as a slew of other Latin American firms, including Alfaro, Ferrer & Ramírez in Panama, Bofill Mir Abogados in Santiago, Jones Day (Mexico), Spingarn in Quito and offshore outfits Campbells LLP and Walkers. Davis Polk and PPU were at hand acting for the banks at that time too, alongside Arias in Costa Rica, El Salvador and Panama, and Ecuador’s ROBALINO.
