PPU assists in integration of Colombian, Santiago and BVL Group stock exchanges

Philippi Prietocarrizosa Ferrero DU & Uría, through its three offices (Colombia, Chile and Peru), has assisted the Colombian Stock Exchange, the Santiago Stock Exchange and Grupo BVL in relation to the integration process of the three exchanges.

This transaction took place on 14 November, where Claro & Cia also provided in-house advice to the Santiago Stock Exchange.

PPU has been working on this matter since 2019, first in relation to the study and preliminary analysis of the feasibility and potential paths that would allow an eventual integration between the exchanges and, in 2022, in the signing of the Framework Investment Agreement in February, and recently in the execution of the conditions precedent foreseen in said agreement to proceed with the integration, especially with the required regulatory filings.

This transaction corresponds to the first Latin American integration of stock exchanges, following the international trend of stock exchange mergers.

PPU’s team was led by Colombia office partner Claudia Barrero, with the support of partners Carolina Rozo and Diego Cardona and associates Juan Jacobo ChávezLeonardo Cotey and Natalia Castilla, from the same office. PPU Chile’s team was composed of partner Federico Grebe, director Constanza Rodríguez and associate Juan Pablo Zegers. Finally, PPU Peru’s team included partner Antonio Guarniz and associate Víctor Bravo.
