Philippi Prietocarrizosa Ferrero DU & Uría Chile has assisted Agromatch in its internationalisation process through the incorporation of a Delaware Limited Liability Company (LLC), and subsequent capital raising with the venture capital fund and early stage startup accelerator 500 Global through a KISS (Keep It Simple Security) instrument.
This transaction took place on 9 November and involved the Chilean and US jurisdictions. NextLegal acted as US counsel to Agromatch.
Thanks to this transaction, Agromatch will be able to incorporate in the United States, facilitating the search for foreign investors in the future. In addition, 500 Global’s investment will allow Agromatch to obtain financing to continue to grow its business and expand into new markets, and to benefit from the support of one of the most important accelerators in the world, benefiting from its knowledge and contacts in the market.
The consultancy involved coordination with US lawyers and the review of the LLC’s incorporation documents, as well as the review and negotiation of the KISS with 500 Global.
