PPU in demerger of Ardian and AgrAm with Solarpack

 

Philippi Prietocarrizosa Ferrero DU & Uría, through its teams in Peru and Chile, has advised Ardian, a leading global private equity investment house based in Paris, and AgrAm on the demerger of the business it held with Solarpack in Peru and Chile.

As a result of the spin-off, Ardian held, directly or indirectly, ownership of Tacna Solar in Peru and Pozo Almonte Solar 2, Pozo Almonte Solar 3 and Calama Solar 3 in Chile.

This transaction was signed on 28 July and closed on 28 December 2023, and involved the jurisdictions of Peru, Chile and Spain. Rodrigo Elias & Medrano and CMS acted as advisors to Solarpack in Peru and Chile, respectively; while Clifford Chance and Uría Menendez acted as advisors to Adrian and AgrAm on an international basis.

PPU’s team in Peru was led by partner Rafael Boisset (pictured) and associate Alessandro Mussio, with support from senior associate Milagros Pastor, senior associate Claudia Loyola, director Veronica Vergaray and associates Ximena Del Rosario and Angela Garcia. The team in Chile consisted of lawyers Mario FavaPedro Pablo ValenzuelaMacarena Fuchs and Ariel Castillo.
